BOUND TREE MEDICAL ANNOUNCES COMPLETION OF ACQUISITION AND ADDITIONAL GROWTH INITIATIVES

Dublin, OH, June 11, 2004 – Bound Tree Medical, LLC, the nation’s leading supplier of medical equipment and supplies to the pre-hospital market, announced that it has completed the acquisition and integration of the emergency medical products distribution business of MedicMaster, Inc., a division of American LaFrance.

By June 1, 2004 Bound Tree had successfully completed the integration of the MedicMaster business into its existing infrastructure and was in position to support the MedicMaster customer base with the full range of resources Bound Tree has to offer.

“The successful integration of the MedicMaster medical supplies operation is an excellent accomplishment for our company” commented Matthew D. Walter, Chief Executive Officer of Bound Tree. “We believe this moves us significantly toward our goals of establishing a stronger presence in the southeastern part of the country. We look forward to bringing the differentiated offering and professional representation to the customers in this region as we have done elsewhere in the U.S.

In addition to the acquisition, Bound Tree has made a number of important moves in the second quarter that are aimed at supporting the future growth of the company. These are highlighted below:

New Southaven, MS Distribution Center

By August, 2004 the company will be operational in its new distribution center in Southaven, Mississippi. This new, state-of-the art site will be the country’s largest facility dedicated exclusively to the pre-hospital market. From this new location, Bound Tree will be positioned to support the MedicMaster customer group and the company’s southeastern customer base. This facility, coupled with the company’s other distribution locations, will allow Bound Tree to cover 97% of the country’s population with standard two-day ground service.

Sales Group Expansion

Bound Tree continues to aggressively expand its field sales force. In the past 30 days the company has hired Lisa Adams, a full-time in-house field sales force recruitment manager. Adams comes to the company with a wealth of experience in professional recruiting. Ms. Adams’ responsibilities include managing Bound Tree’s efforts in expanding its national sales force coverage. She has successfully filled open territories in North Carolina and Southern Florida in the past month. Currently, she is actively recruiting people for the following expansion territories: Tennessee, Virginia, Georgia, South Carolina, Mississippi and Alabama.

Managerial Additions

In the second quarter, Bound Tree has also made the following key managerial additions to strengthen the company and position us for future growth:

Mark Dougherty has joined Bound Tree as Chief Financial Officer. Mr. Dougherty was formerly in a similar position at Tom’s of Maine, a leading manufacturer and distributor of natural health and beauty care products. Dougherty has relocated to the Ohio location.

Jeff Grasto, formerly the head of Sales and Marketing at Emergency Medical Products, joined Bound Tree earlier this month as Regional Manager responsible for the sales group in the central part of the country.

New Grants Division

The company is also announcing the formation of a new Grants Division, lead by Bill Hoster and Kerry Shaw Wills. The division will work with the pre-hospital customer to identify available grant resources and assist in the preparation and specification of their grant needs. Hoster, a current associate of Bound Tree, will lead the customer-facing aspects of the effort. Shaw Wills is new to Bound Tree and brings with her a very successful background in grant research, writing and development.

New Corporate Offices

Effective June 18, 2004 Bound Tree will relocate its corporate offices from their current Galloway, Ohio location to the Dublin area. With the support of the City of Dublin and the State of Ohio, Bound Tree has been able to move to this new location which will better support the rapid growth the company has experienced over the past two years.
